Thank you for visiting the A*STAR Collaborative Commerce Marketplace (“ACCM”), located at www.accm.sg (the "Portal"). The Portal is operated by Enterprise Division, A*STAR Research Entities (Company Registration No. 199702110H) (“We”, and references to “our” and “us” shall be accordingly construed). To contact us, please email us at accm@hq.a-star.edu.sg.
By accessing and using the Portal, you confirm that you accept these Terms of Use and that you agree to comply with them. If you do not agree to these terms, you must not use our site.
We recommend that you print a copy of these terms for future reference.
THERE ARE OTHER TERMS THAT MAY APPLY TO YOU. These terms of use refer to the following additional terms, which also apply to your use of our site:

2. General
2.1 We amend these terms from time to time. Every time you wish to use our site, please check these terms to ensure you understand the terms that apply at that time.
2.2 Additional terms and conditions may apply for access to certain parts of the Portal, as set out in Clause 1 above). By accessing such parts of the Portal, you are deemed to have accepted and agreed to be bound by such additional terms and conditions. Where there is any inconsistency between these terms and conditions and the additional terms and conditions, the additional terms and conditions shall, to the extent of such inconsistency, prevail.
2.3 You are also responsible for ensuring that all persons who access the Portal through your internet connection are aware of these terms of use and other applicable terms and conditions, and that they comply with them.
2.4 We do not guarantee that the Portal, or any content on it, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of the Portal for business and operational reasons. We will try to give you reasonable notice of any suspension or withdrawal.
2.5 We may transfer our rights and obligations under these terms to another organisation. We will take reasonable measures to ensure that the transfer will not affect your rights under the contract.
2.6 Our site is directed to people residing in Singapore. We do not represent that content available on or through the Portal is appropriate for use or available in other locations.
2.7 In your access and use of the Portal, you shall comply with all applicable local laws.
3. Submission of content
3.1 If you choose, or you are provided with, a username, password or any other piece of information as part of our security procedures, you must treat such information as confidential. You must not disclose it to any third party. We have the right to disable any username or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these terms of use. If you know or suspect that anyone other than you knows your username or password, you must promptly notify us at accm@hq.a-star.edu.sg.
3.2 You may create a user account and submit information (“Submission”) to us if you: (1) are at least 18 years of age; (2) can form a binding contract with us; (3) make your Submission in compliance with these Terms and all applicable laws; and (4) represent and warrant that you own or otherwise control all of the rights to your Submission as described in this section including, without limitation, all the rights necessary for you to provide, post, upload, input or make the Submission, and that the Submission submitted is accurate and complete information. If you are providing a Submission on behalf of your company, organization, or government agency, you represent that you have the right and authority to legally bind your organization to these terms.
3.3 You agree that no confidential relationship or obligation of secrecy is established between you and us with respect to your Submission. You irrevocably agree not to assert any claim of idea appropriation, misappropriation, infringement of intellectual property or proprietary right(s) or any other similar claims of any kind with respect to your Submission. We reserve all rights to deny or restrict access to the Portal to you, or to block access from a particular Internet address to the Portal, at any time, in our sole and absolute discretion without ascribing any reasons whatsoever.
3.4 Whenever you make use of a feature that allows you to upload content to the Portal, or to make contact with other users of our site, you must comply with the content standards set out in our Acceptable Use Policy. You warrant that any such contribution does comply with those standards, and you will be liable to us and indemnify us for any breach of that warranty. This means you will be responsible for any loss or damage We suffer as a result of your breach of warranty.
3.5 We have the right to remove any posting you make on our site if, in our opinion, your post does not comply with the content standards set out in our Acceptable Use Policy. We also have the right to disclose your identity to any third party who is claiming that any content posted or uploaded by you to our site constitutes a violation of their intellectual property rights, or of their right to privacy.
3.6 You are solely responsible for securing, backing up and updating your Submission.
3.7 Save for your username and password, you agree that all other Submission (including during the sign up process, such as your name, title, company details and email address) is business contact information and not personal data (as defined in the Personal Data Protection Act of Singapore. You retain all of your ownership rights in your Submission, and you grant to us and other users of the Portal a worldwide, non-exclusive, royalty-free, perpetual licence to use the Submission on the Portal, including, without limitation, the rights to copy, distribute, transmit, publicly display, reproduce, edit, translate and reformat your Submission. If you wish to remove any information on the Portal, you must promptly notify us at accm@hq.a-star.edu.sg, in which case We reserve the right to delete your user account.
3.7 We may remove your Submission at any time from the Portal at our sole and absolute discretion.
4. Use of Portal
4.1 The materials and content on the Portal (which may include text, images, photographs, video, audio, graphics, artworks, user interfaces, software programs and links) are subject to our and our users’ intellectual property and proprietary rights. Those works are protected by copyright laws and treaties around the world. All such rights are reserved. Our status (and that of any identified contributors) as the authors of content on our site must always be acknowledged (except where the content is user-generated).
4.2 You may use the materials and content on the Portal only for informational purposes, and must not use any part of the content on our site for commercial purposes without obtaining a licence to do so from us or our licensors.
4.3 You may print off one copy, and may download extracts, of any page(s) from our site for your personal use and you may draw the attention of others within your organisation to content posted on our site, obliging but not limited to the following:
- You must not reproduce or modify the paper or digital copies of any materials you have printed off or downloaded in any way, nor make any additional representations and warranties to the materials, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.
- Our status (and that of any identified contributors) as the authors of content on our site must always be acknowledged (except where the content is user-generated).
- You must not use any part of the content on our site for commercial purposes without obtaining a licence to do so from us or our licensors.
- If you print off, copy or download any part of our site in breach of these terms of use, your right to use our site will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.
4.4 You shall not hack into, interfere with, disrupt, disable, over-burden or otherwise impair the proper working of the Portal. Without limiting the generality of the foregoing, you shall not use any “deep-link”, “page-scrape”, “robot, “spider” or other automated analytical technique, device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of the Portal or any content, or in any way reproduce or circumvent the navigational structure or presentation of the Portal or any content, to obtain or attempt to obtain any materials, documents or information including but not limited to patterns, trends and correlations through any means not purposely made available through the Portal. We reserve the right to bar any such activity.
4.5 You shall not attempt to gain unauthorized access to any portion or feature of the Portal, or any other systems or networks connected to the Portal or to any of our or our affiliates’ servers, or to any of the services offered on or through the Portal, by hacking, password “mining” or any other illegitimate means.
4.6 You shall not probe, scan or test the vulnerability of the Portal or any network connected to the Portal, nor breach the security or authentication measures on the Portal or any network connected to the Portal. You shall not reverse look-up, trace or seek to trace any information on any other user of or visitor to the Portal, including any account not owned by you, to its source, or exploit the Portal or any service or information made available or offered by or through the Portal, in any way where the purpose is to reveal any information, including but not limited to personal identification or information, other than your own information, as provided for by the Portal. You must not misuse our site by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful. You must not attempt to gain unauthorised access to our site, the server on which our site is stored or any server, computer or database connected to our site. You must not attack our site via a denial-of-service attack or a distributed denial-of service attack. We will report any illegal activity to the relevant law enforcement authorities and We will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our site will cease immediately.
4.7 You shall not use or disclose any of our confidential information (being information which is reasonably considered by us to be confidential or should be their nature reasonably be considered as confidential), without obtaining our prior written consent.
4.8 You may not use this Portal to make any offer or solicitation of any capital market products or securities in any jurisdiction to any person.
4.9 This clause shall not apply insofar as (but only to the extent that) We are unable to exclude or limit text or data mining or web scraping activity by contract under the laws which are applicable to us.
5. Disclaimer of Warranties and Liability
5.1 The materials and content of this Portal are provided on an "as is" basis without warranties of any kind. This Portal may include information and materials uploaded by other users of the site. This information and these materials have not been verified or approved by us. The views expressed by other users on our site do not represent our views or values. We do not actively monitor nor moderate the submission of material and information on the Portal by other users or of information derived from submissions by other users, and are under no obligation to do so. Although We make reasonable efforts to update the information on the Portal, We make no representations, warranties or guarantees, whether express or implied, that the content on the Portal is accurate, complete or up to date. In this regard, We expressly exclude our liability for all loss or damage arising from your use of the Portal relating to the use of material and information on the Portal. 5.4 To the fullest extent permitted by law, We do not warrant or represent, and hereby disclaim, any warranty or representation, express or otherwise implied, to the fullest extent of the applicable laws, including but not limited to the following:
(a) as to the accuracy, correctness, completeness, reliability, timeliness, non-infringement, title, merchantability or fitness for any particular purpose or satisfactory quality of the materials or contents on this Portal or any part thereof; and
(b) that the contents or any part thereof or any functions associated therewith will be uninterrupted or error-free, or that defects will be corrected or that the Portal and the server is and will be free of all viruses, worms and/or other harmful or invasive elements.
5.5 We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors and for fraud or fraudulent misrepresentation.
5.6 We will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:

- In particular, We will not be liable for:

6.1 You may link to our home page at https://www.accm.sg, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists. You must not establish a link to our site in any website that is not owned by you.
6.2 Our site must not be framed on any other site, nor may you create a link to any part of our site other than the home page. We reserve the right to withdraw linking permission without notice.
6.3 The website in which you are linking must comply in all respects with the content standards set out in our Acceptable Use Policy.

7. Governing Law and Dispute Resolution
7.1 By accessing the Portal, you agree that the laws of the Republic of Singapore shall govern such access as well as the application of these terms and conditions. You agree to submit to the non-exclusive jurisdiction of the Singapore courts regarding any and all disputes relating to these terms and conditions and/or use of the Portal.
8. Indemnity
8.1 To the extent permitted by applicable law, you agree to indemnify A*STAR, and hold A*STAR harmless from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Portal; (ii) your violation of any term of these Terms of Use (including the Policies referred to herein); (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your Submission caused damage to a third party. This clause shall survive your use of the Portal.
